Welcome to Wholesale.usa-angel.com, the wholesale distribution platform operated by Angel Biz LLC. By registering as a vendor and selling products on our platform, you agree to comply with the following Terms of Service. Please read these terms carefully before proceeding.
1. Vendor Registration & Approval
1.1. Vendors must complete the registration process and provide accurate business information. 1.2. Wholesale.usa-angel.com reserves the right to approve or reject any vendor application at its sole discretion. 1.3. Vendors must provide valid business licenses, tax identification numbers, and any other necessary documentation.
2. Product Listings & Compliance
2.1. Vendors are responsible for listing accurate product descriptions, pricing, and inventory availability. 2.2. All products must comply with applicable U.S. laws, industry regulations, and Wholesale.usa-angel.com’s quality standards. 2.3. Vendors shall not list counterfeit, illegal, or restricted items. 2.4. Wholesale.usa-angel.com reserves the right to remove or modify product listings that violate platform policies.
3. Pricing & Payment Terms
3.1. Vendors set their own wholesale pricing, but Wholesale.usa-angel.com may suggest pricing guidelines. 3.2. Payments will be processed according to agreed payment terms, including Net 30, Net 60, or as specified in vendor agreements. 3.3. Wholesale.usa-angel.com will facilitate payments via bank transfer, ACH, or other approved payment methods. 3.4. Vendors are responsible for applicable taxes, duties, and fees associated with their sales.
4. Order Fulfillment & Shipping
4.1. Vendors must process and ship orders within the agreed time frame. 4.2. Vendors are responsible for using reliable shipping carriers and providing tracking details. 4.3. Delays or issues in order fulfillment must be promptly communicated to Wholesale.usa-angel.com and the buyer. 4.4. Vendors are responsible for any shipping damages or discrepancies unless caused by Wholesale.usa-angel.com.
5. Returns & Refunds
5.1. Vendors must outline their return policies and ensure they comply with Wholesale.usa-angel.com’s return standards. 5.2. In cases of defective or incorrect items, vendors are responsible for issuing refunds or replacements. 5.3. Wholesale.usa-angel.com reserves the right to mediate disputes between vendors and buyers regarding returns and refunds.
6. Intellectual Property & Branding
6.1. Vendors must have the rights to sell the products listed and must not infringe on trademarks, copyrights, or patents. 6.2. Use of Wholesale.usa-angel.com branding or logo requires prior written consent. 6.3. Vendors grant Wholesale.usa-angel.com the right to use product images, descriptions, and brand information for marketing and promotional purposes.
7. Termination & Account Suspension
7.1. Wholesale.usa-angel.com reserves the right to suspend or terminate a vendor’s account for policy violations, fraudulent activities, or non-compliance. 7.2. Vendors may terminate their account by providing written notice, but outstanding orders and financial obligations must be settled before closure. 7.3. Any breach of these Terms of Service may result in immediate termination of vendor privileges.
8. Liability & Indemnification
8.1. Vendors assume full responsibility for their products and any claims arising from their sale. 8.2. Vendors agree to indemnify and hold Wholesale.usa-angel.com harmless from any legal claims, damages, or losses arising from vendor activities. 8.3. Wholesale.usa-angel.com shall not be liable for any indirect, incidental, or consequential damages related to vendor sales.
9. Confidentiality & Data Protection
9.1. Vendors must maintain the confidentiality of Wholesale.usa-angel.com’s proprietary information, including customer data and business operations. 9.2. Vendors must comply with data protection laws when handling customer or transaction data.
10. Governing Law & Dispute Resolution
10.1. These Terms of Service are governed by the laws of the State of Florida, USA. 10.2. Any disputes arising from these terms shall be resolved through negotiation, and if unresolved, through arbitration in the State of Florida.
